The Texas Business Organizations Code (BOC) guides those who wish to begin a domestic entity in Texas. The BOC also governs all foreign filing entities that were not registered before January 1, 2010, and all foreign non-filing entities. The BOC became effective on January 1, 2010 for all domestic entities and all foreign entities, regardless of when they were formed or qualified, unless they choose to “opt-in” earlier.Entities that decided to "opt-in" early were able to take advantage of various statutory nuances and developments allowed under the BOC for early “opt-in” entities. Now that the BOC is effective for all domestic and all foreign entities in Texas, all entities are able to take advantage of the statutory developments afforded by the BOC.
